Platform Terms of Business


Definitions

"Confidential Information" — All non-public information relating to SpringCash or you, including documentation, technical information, software, business information, feedback, pricing, reports, trade secrets, or know-how disclosed by one Party to the other in connection with the Platform Terms or Services.

"Customer", "you", "your" — The company set out in the Onboarding process, or a user of the Platform, as context requires.

"Customer Agreements" — Any agreement entered into between a SpringCash group company and a customer for any Platform Services.

"Insights Services" — SpringCash insights and analytics services providing information and recommendations on performance using key marketing and transaction data metrics, and using aggregated non-personal customer information to benchmark at industry or geographical level (together with Platform Services and any other services, materials, tools or functions provided by SpringCash from time to time, the "Services").

"Onboarding" — The process of submitting Registration Information and setting up a Customer Account on the Platform.

"Partnership Site" — A website offering SpringCash Services operated by SpringCash in partnership with one of its commercial partners from time to time.

"Platform" — The SpringCash website and/or mobile application, as applicable.

"Platform Services" — Any and all services provided via the Platform, including but not limited to capital advances, underwriting services, merchant insights, and any other services provided from time to time.

"Platform Terms" — These terms and conditions governing your use of the Platform and Services.

"Registration Information" — Personal and company information required by SpringCash during Onboarding and any follow-up or further information requested from time to time.

"Verification Documentation" — EIN, Certificate of Incorporation, passports and the like required to verify Registration Information and identity.

"SpringCash", "we" or "us" — SpringCash LLC, registered office at 48 Bedford St. #5B, New York, NY, 10014, United States.


1. The Platform and Services

1.1 These Platform Terms set out the terms and conditions on which you may use the Platform, Services, and/or any Partnership Site, whether as a guest or registered user. Use includes accessing, browsing, creating an account, or otherwise registering to avail of Services.

1.2 Please read these Platform Terms carefully before you start to use the Platform, as these will govern your use of it.

1.3 The Platform and Services are intended for business use and are not directed towards individual consumers.

1.4 By using the Platform and/or Services, you confirm that you accept these Platform Terms and agree to comply with them.

1.5 If you do not agree to these Platform Terms, you must not use the Platform or Services.

1.6 In addition to these Platform Terms, you may enter Customer Agreements with us (including, but not limited to, our Capital Advance Agreement, or other agreements in respect of any other services offered by SpringCash) from time to time. If there is any conflict between these Platform Terms and such other Customer Agreement, the latter will take precedence in respect of the relevant Services.

1.7 These Platform Terms, any relevant Customer Agreement and any other documents or communications relevant to the Services will be provided to you electronically and it is a condition of your use of the Services that you accept them in that format. You further accept that all such documentation or agreements are "in writing" for the purposes of applicable law.

1.8 We recommend that you print a copy of all documentation received from us for future reference.

3.1 We may revise these Platform Terms at any time by amending this page and will notify you accordingly by placing a notice on the Platform.

3.2 Please check this page from time to time to take notice of any changes we make, as they are binding on you.


4. Changes to the Platform

4.1 We may update the Platform or Services from time to time.

4.2 We do not guarantee that the Platform, or any content on it, will be free from errors or omissions.


5. Accessing and Using the Platform

5.1 The Platform is made available free of charge, on an "as is" and "as available" basis.

5.2 We may suspend or withdraw the Platform without notice.

5.3 You must not use the Platform for any illegal or disruptive purpose.

5.4 You must not sublicense or commercially exploit the Platform or Services.


6. Onboarding

6.1 Login and Password

You must register to use our Services and keep your password confidential.

If your credentials are compromised, contact support@springcash.com.

6.2 Your Registration Information and Verification

We require:

You must keep your data up to date and accurate. You indemnify us against any resulting losses.

6.3 Credit Report Authorization

By submitting an application for Services, each business principal authorizes SpringCash to obtain credit reports and other credit information about such principal and the business from credit reporting agencies and other third-party sources as described in our Terms and Privacy Notice. This authorization is ongoing for so long as your Customer Account remains active or any obligations to SpringCash remain outstanding.


7. Use of Your Content

7.1 You may apply for funding or services via your Customer Account.

7.2 You may receive Insights Services even without an active agreement.

7.3 We will retain access to your accounts unless you revoke it.

7.4 If your application is unsuccessful, we will retain your data for two years.

7.5 We may use your business data for benchmarking and improving our services.

7.6 You grant us a license to use your Business Activity Data.

7.7 We may share anonymized data with partners under confidentiality.

7.8 You may be identified as a customer for marketing unless you opt out.

7.9 Personal data is handled according to our Privacy Notice.

7.10 If you don't consent to these uses, you must delete your account.

9.1 We are not obligated to provide Services even if you qualify.

9.2 You are responsible for ensuring the Services are suitable.

9.3 You should seek independent advice.

9.4 We disclaim all implied warranties to the extent permitted by law.


10. Confidentiality

Each party must protect the other's Confidential Information and only disclose it as required or permitted under these Terms.

11. Intellectual Property Rights

11.1 We or our licensors own the Platform IP.

11.2 You may print or download content for personal reference.

11.3 You may not modify or use content commercially.

11.4 Breach of these terms may result in termination of access.

12.2 We do not guarantee that the content is complete or accurate.


13. Liability for Breach

If you breach these Terms, we may suspend or terminate your account.

14.1 We do not exclude liability for death or injury caused by negligence or fraud.

17. General

17.1 Our remedies are cumulative.

17.2 No waiver of rights is implied by silence.

17.4 If a clause is invalid, the rest still applies.


18. Entire Agreement

18.1 These Terms supersede all previous discussions and agreements.

18.2 You accept these Terms without relying on prior representations.

18.3 This clause does not limit liability for fraud.


19. Applicable Law

These Terms are governed by New York law. Disputes are subject to the exclusive jurisdiction of New York County courts.
